为了明确各自的的权利和义务，更好的开展工作，经双方协商，达成以下协议：
第一条 乙方的权利和义务
1、签订协议后，经甲方授权，乙方在当地成立_________网站分支机构，并以甲方名义在当地开展工作，办公地点及办公设备乙方自行解决
2、乙方有权要求甲方提供便于开展工作的相关文字资料，办班或举办讲座，在师资方面有权要求得到帮助。可优先优惠运作联合会策划的各种项目。

4、乙方每次开公开课或内训课需要甲方帮助设计课程和聘请老师，需提前25天申请，老师的讲课费用和差旅费由乙方负责。

第二条 甲方给予乙方以下支持

2、项目资源：甲方将为乙方精心设计、独具特色的专业培训及系列课程、权威资格认证及管理咨询项目，并不断开发新的具有市场核心竞争力的优秀项目，以适合培训市场的需求，适应市场变化。
3、人力资源：甲方为乙方提供政府官员、中外知名专家教授、高级培训师、著名企业家、职业经理人资源，为加盟合作者节省公关经费，节约讲师课费等许多费用，辅助合作伙伴建立永续的人力资源保障。
4、管理模式：甲方为乙方提供完善的管理系统及人事培训，传授_________培训认证管理模式，规范并完善合作伙伴培训认证体系，使其更具号召性、权威性、系统性、科学性。
5、协助运作：结合_________先进的培训认证模式及系统体系，甲方为乙方提供管理支持，指导并协助合作伙伴在所辖区域内的培训认证教育市场运作。

7、资料支持：甲方为乙方提供目前所有的培训认证教育教材（或讲义）、资格证书、结业证书、研修班证书、全国企业经营管理人才库证书及培训认证市场宣传资料，帮助合作伙伴开拓培训市场，获取利润。各种证书的价格补充协议规定。
8、网站支持：甲方_________网站将宣传乙方，并发布乙方关于公司简介、管理培训、资格认证、管理咨询及其他服务在内的最新信息。
9、信息支持：有专业部门收集国内外教育市场信息，综合分析提供给乙方，以便乙方随时掌握国内外教育流行动态、各类教育资讯。
10、策划支持：甲方将为乙方提供论坛、年会等大型活动的具体策划方案，利用成功的策划方案进行复制和推广。

第三条 甲方的权利及协议的期限和解除

甲、乙双方就合作举办培训班事宜，经友好协商，达成协议内容如下：
一、合作办学内容
甲乙双方合作举办培训班（以下简称培训班），每期人，每期天。
二、教学模式
根据教学需要，学生在甲方所在地上课。按甲乙双方共同制定的教学计划完成规定的课程，。
三、合作期限
双方合作期限从年月日起至年月日止，如需续签双方另行商定。
四、甲乙双方的权利和义务
（一）甲方的权利和义务：
1、甲方负责与招生相关的一切工作。甲方有权以甲方的名义开展招生工作。
2、甲方全权负责培训班的管理工作：任命负责人；确定招生规模；选聘教师和其他管理人员；选择教材；组织教学；管理学生等等。
甲方承担下述义务：
1、负责培训班的费用。

（二）乙方的权利和义务：
1、督促与检测教师的日常教学，包括：备课、练课、与学生、家长沟通、电话回访等细节工作的落实
2、如没有合格的教师，乙方有权力自行招聘并任用，以保证教学质量。
3、确保培训效果，维护品牌及双宇教育的声誉
4、辅助招生、负责教师聘任及培训工作。
5、公开课操练辅助招生，提供相关招生、宣传策略。。
五、利益分成
1、按学生学费甲方占乙方占。
2、为学生发送的教材、礼品等双方各占。
六、违约责任
1、由于甲、乙任何一方违约，造成本协议不能履行或不能完全履行时，守约方有权要求终止协议，并要求违约方赔偿全部经济损失。如双方同意继续履行协议，违约方应赔偿其违约行为造成的损失。
2、甲、乙双方依照协议分配的或依照协议规定所应承担的协作任务，因不可抗拒的事由确属无法承担的，应在不可抗拒的事由发生后1周内，及时通知对方。甲、乙双方由于不可抗拒的事由确实无法承担协作任务，而给他方造成经济损失的，不负赔偿责任；由于其它原因不愿继续承担协作任务，而给他方造成经济损失的，应当承担赔偿责任。
七、其他
1、实施中如有其它未尽事宜，双方本着友好平等的精神协商解决，并签订书面补充协议。补充协议作为本合同组成部分具有同等法律效力；
2、本协议若发生任何纠纷，应首先通过协商方式解决；协商不成，任何一方均可向当地法院申请诉讼；
3、本协议一式肆份，甲乙双方各执贰份，自甲乙双方签字盖章之日起生效。

二、合作目的与宗旨purpose & aim
甲乙双方以互惠、互信、互利为原则，发挥各自的资源优势进行合作，以取得良好的经济和社会效益，提升各自的社会影响力。甲方提供教育平台和教育硬件，乙方引进美国优质的教育资源和先进的美国教育管理，双方合作开发中美两国教育市场。

三、合作内容及方式content & mode
1.甲乙双方合作，在甲方开办赴美留学的.培训项目。

四、甲乙双方的权利与义务rights & obligations of both parties
（一）甲方party a:
1.负责赴美留学项目开办的相关立项和报批手续。

2.负责提供赴美留学英语培训项目的教学设施及相关服务。
to beresponsible for offering teaching facilities and relevant servicesfor the study in u.s.a training program of esl.
3.负责教学质量的监控，确保教学计划的顺利实施。如乙方所提供的师资质量出现问题，甲方有权保留提出整改并进一步更换师资的权利

4.负责项目宣传和招生。

6.负责按照本协议的约定，将乙方应分得学费及时、足额地支付给乙方。

2.负责为甲方提供招生宣传资料和招生简章的主要内容。

3.负责提供留美预科班的全部师资、教材、教学软件和全美大学通行的esl英语证书,并确保提供师资的质量，自愿接受甲方的教学监控。
tobe responsible for providing all the teachers of the study in paratory course program, teaching materials, teaching softwareand esl english certificate commonly recognized among usuniversities.
4.负责美方教师往返中国的机票和薪酬。
to beresponsible for the us teachers’ plane tickets and salary tochina.
5.负责美方教师在中国期间的人身意外和医疗保险。
to beresponsible for the us teachers’ personal accident and medicalinsurance during their stay in china.
6.负责为参加赴美留学英语培训班学习的学生申请美国大学，并为美国大学录取。
to applyfor students who participate in the program of studying in ining program of esl, and ensure that they are admitted by a usuniversity.
7.负责为赴美留学英语培训班的学生申请到美国大学给予国际学生最优厚的奖学金。
to beresponsible for applying for the best scholarship which the usuniversity can grant to international students for students in theprogram of studying at u.s.a training program of esl.
8.负责为赴美留学英语培训班的学生提供赴美签证培训和代理赴美签证服务。

五、收费和双方利益分配charges and profits distribution
1.学费：培训、考试及证书费用为每人每期元人民币，报到注册时一次性-交清。其中甲方分得％，乙方分得％；各自用于办学成本开支。学费由甲方统一收取，在每个学期开学后15个工作日内由甲方将乙方应分得部分划入乙方在北京的指定账户。

六、合作期限cooperation term
本协议自甲、乙双方签字之日起生效，有效期两年。协议到期前三个月，如双方一致认为可以继续合作，可正式续签书面协议。

七、协议的变更change of the agreement
本协议未尽事宜，或需变更，须经甲、乙双方共同协商，做出书面补充协议；补充协议与本协议具有同等法律效力。

八、协议的终止和不可抗力terminationand force majeure
1.本协议有效期满时，自动终止。

2.由于政治原因、自然灾害、战争及其它不可预见因素，或对其发生及后果不能防止或避免的不可抗拒因素影响本协议的履行或不能按预定条件履行的，遇上述不可抗拒因素的一方应立即通知对方，并应在三十日内提供详情及有效证明文件。因不可抗力致使本协议中止时，签约双方互不承担经济责任。因不可抗力致使本协议中止时，签约双方应共同对参加本教育项目学习的学生做出妥善安排，并将学生的损失降到最低限度。
whenunpredictable circumstances like political policy, naturaldisasters, war or other force majeure whose occurrence andconsequences cannot be prevented, and which leads to the situationin which the agreement cannot be carried out or be implemented asplanned, the party who suffers one of the above shall notify thecounterpart without delay and provide details and valid supportingdocuments within thirty days. if the agreement has to terminatebecause of force majeure, neither side shall bear the economicresponsibilities. in addition, both parties shall make properarrangements for participants of the education program, and dotheir best to minimize the students’loss.
3.本协议执行期间，任何一方如有不规范操作，违背协议约定，在对方提出三次整改要求后仍未改正的情况下，对方有权提出解除本协议。但甲、乙双方应继续履行各自职责，完成未完成的培训，不得侵犯已入学学生的合法权益。
duringimplementation of the agreement, if any party’s improper conductsbreach the agreement, and the said party makes no corrections afterthe counterpart’s warning for three times, the counterpart shallhave the right to suggest terminating the agreement.
nevertheless, both sides have duties to complete theongoing training and must not violate the legal rights andinterests of the enrolled students.
九、违约责任的认定和赔偿
establishment ofbreach responsibilities and indemnifications
1.签约的任何一方，不能按约定的时间、方式和要求履行本协议应承担的责任、义务，均视为违约。
it shallbe regarded as breach if any side cannot implement the agreementand perform its own duties or responsibilities in accordance withthe time, manner and requirements stipulated.
2.违约方因其违约行为造成本协议目标不能实现或给签约对方造成经济损失，均应承担相应的赔偿责任。
ifbehaviors of the breach side cause the objective of the agreementnot being realized or cause economic loss for the counterpart, thebreach side shall bear the relevant compensation duties.
3.违约方因其违约行为或因已方不当行为侵害了教育项目的学生合法权益，或社会相关方面合法权益，或违反了中国法律及政府法令，均应独自承担相应的法律责任。
if thebreach behavior or improper behavior of the breach side violatesthe legal rights or interests of the students in this educationprogram, or the relevant legal rights or interests of relatedorganizations in the society, or the laws or government decrees ofprc, the breach side shall undertake the related legal dutiesindependently.
4.违约方因其违约行为或因已方不当行为引发与第三方纠纷，致使无责任的签约方被要求承担连带赔偿责任时，无责任的签约方有权要求有违约责任或实施不当行为的签约方赔偿相应的损失。
thebreach behavior or improper behavior of the breach side causesdispute with a third party and involves the counterpart into thecompensation affairs, the party who has no fault shall have theright to request the breach side (or the side which has improperbehaviors) to indemnify the relevant loss.
十、争议的解决dispute settlement
1在履行本协议的过程中，甲、乙双方欲告之对方的重要事项，以书面确认函的内容为准。

2本协议在执行过程中如发生争议时，先由甲、乙双方协商解决。

一、双方的权利和义务
1、甲方的权利和义务
①甲方有义务保证对辅导学生的教学质量
②甲方根据家长和学生需求有权利决定辅导方式，乙方不得干涉。
③甲方有权利定期对辅导学生和家长进行沟通回访，如发现反馈情况不符合事实，有权利取消合作关系。
2、乙方的权利和义务

③乙方有权利对甲方的服务进行评定，并决定是否继续合作。如果对金牌教育的服务不满意，可以随时取消合作关系。
二、合作细则
1、乙方与甲方共同编写广告短信，家长答问，课程设计，招生策划，乙方为甲方选派初中老师团队。
2、甲方为乙方提供高中老师住宿，高中辅导教室。乙方可付5000元的住宿和教室费。开课两日内付清。
3、前期招生方案由甲方和乙方共同商讨制定，招生方案由甲乙双方共同执行，初中招生不利，需甲乙双方共同探讨解决办法，开课后一周时间，乙方为甲方选派老师不得擅自离开岗位。
4、如果乙方招生不利，无需甲方住宿和教室，甲方应付乙方前期策划和选派老师的除房租预付款的费用
5、甲方对乙方推荐的五位初中教师（语数理化英）要开课前说明薪酬即代课费，开课3天内做出评价，认为不满意的辞退按说好的代课费给付已上课时，乙方可以再推荐一位同科目教师顶替。3天内甲方没有提出，则乙方认为教师合格，不负责更换教师。如教师离开需推荐顶岗教师，否则按违规处理
6、甲方对外地初中教师的交通安全要特别重视，为他们提供力所能及的帮助。由于外地初中老师对甲方服务不周或代课费没有按提前约定给付导致的教师流失，乙方不负责再推荐教师。
7、乙方选派教师有义务推广金牌教育北京四中网校网络课程和新学年精品晚辅班。
三、招生宣传方式
1、对甲方现有学生进行宣传，利用甲方现有信息对暑假课程进行电销，短信群发等
2、由甲方制作宣传海报，传单等在各小区发放，设置宣传位；在考试期间在考场附近散发传单对暑期初高中课程进行统一宣传，由乙方承担宣传品制作费用的百分之三十
3、由乙方向甲方提供选派教师信息，教学成就，方便甲方宣传（例如将乙方教师打造为辅导名师等）
4、由乙方承担后续宣传费用的百分之三十
四、收费方式
1、七年级课程招生，学习数学英语，阅读写作，写字25天共四门600元单科300元
2、八年级课程招生，学习数学英语物理25天共三门700元单科350元
3、九年级课程招生，学习数理化英25天共四门1000元单科400元
五、提成
甲方提成为销售额的百分之五十，乙方提成为销售额的百分之五十，如因乙方原因，教学工作不能顺利进行，则乙方只得销售额的百分之三十
六、合同解除
1、一方有违反本合作协议的，另一方有权解除合作协议
2、合作协议期满
3、双方同意终止协议的
4、一方合伙人出现法律上问题及做对对方有损害的事情，另一方有权解除合作协议
七．备注：

二、相关费用问题占地
1）假如在室外活动中，产生了场地占用费用，由三家共付，aa制支付（场地及相关费用）
2）试听券发放和费用（试听券）
@试听券可以三家合做一张，形成通用（备注，其他培训机构自定），利大于弊！ @试听券产生费用（由三家共付 AA制，包括设计，印制）
@试听券发放问题（主题活动，日常），各自机构自试听券使用之后，不得使用自己特制试听券，主题活动大家尽量以宣传为主，试听券可以发放，但是招生性质不能太强。
3）表演活动
表演活动，包括表演服饰，场地占用，制作人员费用，光盘刻录等，为友好关系，3家AA制。
4）宣传资料
互换的宣传资料（100份，每2个月索要一次）需要放到各机构的资料索取处，在不耽误自身业务的基础上，去宣传。
5）学员转介绍
三家机构既达成合作伙伴形式，而且业务基本不冲突，所以要为彼此考虑，这样才能在回龙观众多机构中造成影响，在家长心中树立正面形象。学员介绍，其中利润分配按每家机构的现状制定，实行月结（有好的方式再议，从当天开始计算接下来的一个月），三家机构不能互相欺瞒，否则视为自动退出合作伙伴，按协议处理。
6）公开课
如果机构有开公开课的意向，可提前写策划，包括时间，地点，要求（一家）机构的配合学员数，产生费用，由提出讲公开课方出，公开课只是大家交流的一种形式，试听券可以放，但是不得在对方机构招生，后果自负！
7）针对每家机构的自身问题，我们秉着“公平，公正，公开”的态度，商量解决 仅供参考。
